Terms of Service
Last Updated: September 2026
Welcome to norbergite.com (“Site,” “we,” “us,” or “our”), accessible at norbergite.com and operated by Norbergite. These Terms of Service (“Terms”) govern your access to and use of our software-as-a-service platform, applications, application programming interfaces, content, and related services (collectively, the “Services”). By creating an account, accessing the Site, or using any part of the Services, you agree to be bound by these Terms and by our Privacy Policy, Cookie Policy, and any other policies referenced herein. If you do not agree to these Terms, you must not access or use the Services. We may update these Terms from time to time; material changes will be posted on this page with an updated “Last Updated” date and, where appropriate, via email or in-product notice.
Our Services are provided under the United States notice-and-choice model. While there is no general federal requirement for opt-in consent for ordinary online services, we comply with sector-specific statutes such as the Children’s Online Privacy Protection Act, 15 U.S.C. §§ 6501-6506 (COPPA), the Health Insurance Portability and Accountability Act (HIPAA) where applicable, the Gramm-Leach-Bliley Act, 15 U.S.C. §§ 6801-6809 (GLBA) for financial institutions, the California Consumer Privacy Act as amended by the CPRA (Cal. Civ. Code § 1798.100 et seq.), the Virginia Consumer Data Protection Act (Va. Code § 59.1-575 et seq.), the Colorado Privacy Act (C.R.S. § 6-1-1300 et seq.), the Connecticut Data Privacy Act (Conn. Gen. Stat. § 42-515 et seq.), the Utah Consumer Privacy Act (Utah Code § 13-11-101 et seq.), and other State comprehensive privacy laws, including those enacted in Texas, Oregon, Montana, Florida, Tennessee, and similar jurisdictions. These Terms are intended to work together with our Privacy Policy and Cookie Policy, which explain how we collect, use, disclose, and protect personal information.
1. Service Description
norbergite.com provides a cloud-based software-as-a-service platform designed to help users manage, analyze, and interact with their data and workflows through our web interface, mobile applications, APIs, and related tools. The specific features, functionality, and service levels available to you depend on the subscription plan, license tier, or trial status you select. We reserve the right to modify, enhance, suspend, or discontinue any feature or functionality at any time, with or without notice, and we are not liable if any feature becomes unavailable.
The Services are intended for business, professional, and personal productivity purposes and are not intended to provide legal, financial, medical, accounting, or other professional advice. Any output, analytics, reports, or recommendations generated by the Services are for informational purposes only and should not be relied upon as a substitute for professional judgment. You are solely responsible for how you use the Services and any decisions you make based on information obtained through the Services.
Access to certain Services or features may be subject to age, geographic, eligibility, or payment requirements. You may not use the Services where doing so would violate applicable law. We may also make available beta, pilot, or early-access features, which are provided “as is” and may be modified or withdrawn at our discretion. Additional product-specific sale terms, where applicable, are set forth in our Terms and Conditions.
2. User Accounts
To access most features of the Services, you must register for an account and provide accurate, current, and complete information. You agree to keep your account information up to date and to maintain the confidentiality of your login credentials, including any passwords, tokens, or API keys. You are fully responsible for all activities that occur under your account, whether or not authorized by you, and you agree to notify us immediately of any unauthorized access or suspected breach of security.
You must be at least eighteen (18) years old, or the age of legal majority in your jurisdiction, to create an account and enter into these Terms. Users under the age of thirteen (13) are not permitted to use the Services, and we do not knowingly collect personal information from children under 13 in compliance with COPPA and the COPPA Rule as amended effective June 2025 (16 C.F.R. Part 312, 2025 amendments). If you are between 13 and 18, you may use the Services only with the involvement and consent of a parent or legal guardian. By creating an account, you represent and warrant that you meet these eligibility requirements and that you have the authority to bind any entity on whose behalf you are using the Services.
You may not transfer, sell, license, or share your account to any third party without our prior written consent. We reserve the right to suspend, restrict, or terminate your account at any time if we reasonably believe you have violated these Terms, misrepresented your identity, engaged in fraudulent activity, or posed a security risk to the Services or other users. Following termination, your right to use the Services will immediately cease, and any provisions of these Terms that by their nature should survive termination will continue to apply.
3. Acceptable Use Policy
You agree to use the Services only for lawful purposes and in compliance with all applicable federal, state, and local laws, regulations, and industry standards, including the Federal Trade Commission Act § 5, 15 U.S.C. § 45 (FTC Act — unfair/deceptive practices), and the Restore Online Shoppers’ Confidence Act, 15 U.S.C. §§ 8401-8405 (ROSCA). You will not use the Services in any manner that could disable, overburden, damage, impair, or interfere with our servers, networks, or other users’ enjoyment of the Services.
You are responsible for all content, data, and activity associated with your account. You agree not to circumvent, disable, or otherwise interfere with any security-related features of the Services, including features that prevent or restrict use or copying of content, or that enforce limitations on use. You also agree not to probe, scan, or test the vulnerability of any system or network without authorization, or to breach or attempt to breach any security or authentication measures.
You agree to indemnify, defend, and hold harmless Norbergite, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Services, your content, your violation of these Terms, or your violation of any third-party right, including intellectual property, privacy, or publicity rights.
4. Prohibited Activities
In connection with your use of the Services, you are strictly prohibited from:
- Accessing, tampering with, or using non-public areas of the Services, our computer systems, or the technical delivery systems of our providers without authorization;
- Using any robot, spider, scraper, crawler, or other automated means to access the Services or extract data without our express written permission;
- Reverse engineering, decompiling, disassembling, or otherwise attempting to discover the source code or underlying ideas of the Services, except to the extent expressly permitted by applicable law;
- Uploading, transmitting, distributing, or introducing viruses, worms, malware, Trojan horses, or any other malicious or harmful code;
- Engaging in fraud, phishing, impersonation, harassment, threats, hate speech, defamation, or any other unlawful, harmful, or abusive conduct;
- Infringing or misappropriating any patent, copyright, trademark, trade secret, or other intellectual property right;
- Collecting or harvesting personally identifiable information of other users without consent, or intercepting communications in violation of the Electronic Communications Privacy Act, 18 U.S.C. § 2511, or state wiretapping and computer privacy statutes (e.g., California Invasion of Privacy Act § 631, session-replay litigation);
- Using the Services to send unsolicited commercial communications, spam, or pyramid schemes;
- Violating any applicable export control or sanctions laws; or
- Encouraging or assisting any third party to do any of the foregoing.
We reserve the right, but not the obligation, to investigate any suspected violation of these Terms and to cooperate with law enforcement authorities, courts, and regulators. Any use of the Services that violates this section may result in immediate account suspension or termination, legal action, and the disclosure of information to appropriate authorities.
5. Content Ownership
All right, title, and interest in and to the Services, including but not limited to software, code, algorithms, designs, text, graphics, logos, icons, images, audio, video, data compilations, APIs, documentation, and all related intellectual property rights, are and will remain the exclusive property of Norbergite and its licensors. The Services are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal business or personal purposes during the term of your subscription or authorization. This license does not include any right to sell, resell, reproduce, distribute, publicly display, modify, create derivative works of, or commercially exploit any part of the Services except as expressly authorized in writing by us.
Our trademarks, service marks, logos, trade dress, and product names may not be used in connection with any product or service without our prior written consent. You may provide suggestions, ideas, or feedback to us; you acknowledge and agree that any such feedback is non-confidential and that we may use it without restriction or compensation to you. You grant us a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate your feedback into the Services.
6. User-Generated Content
The Services may allow you or other users to upload, post, transmit, display, or otherwise make available content, data, comments, files, or materials (“User Content”). You retain ownership of any intellectual property rights that you hold in your User Content; however, by uploading or submitting User Content to the Services, you grant Norbergite a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, display, and perform such User Content solely for the purpose of operating, providing, promoting, improving, and developing the Services.
You represent and warrant that: (i) you own or have obtained all necessary rights, licenses, consents, and permissions to upload and share your User Content; (ii) your User Content does not violate any applicable law or infringe, misappropriate, or violate the rights of any third party, including privacy, publicity, copyright, trademark, trade secret, or contractual rights; and (iii) your User Content is accurate and not misleading. You are solely responsible for your User Content and the consequences of posting or publishing it.
We do not guarantee the accuracy, integrity, quality, or legality of any User Content and we are not responsible for any User Content posted by you or other users. We reserve the right, but have no obligation, to review, monitor, edit, remove, or disable access to any User Content at any time for any reason, including if we believe it violates these Terms or applicable law. If you believe that any content on the Services infringes your copyright, please contact us using the information below so that we may investigate and respond in accordance with applicable law.
7. Payment Terms
Certain features of the Services are offered on a subscription, usage, or one-time fee basis. All fees are stated in United States dollars and are payable in advance unless otherwise specified. By providing a payment method, you authorize us and our payment processors to charge all applicable fees to your designated payment method, including recurring subscription charges, usage overages, and applicable taxes. You represent and warrant that you have the legal right to use the payment method you provide.
If you purchase a subscription, you will be billed on a recurring basis in accordance with the billing cycle and price disclosed at checkout. In compliance with the Restore Online Shoppers’ Confidence Act, 15 U.S.C. §§ 8401-8405 (ROSCA), you expressly authorize all recurring charges, and we clearly disclose the subscription term, billing frequency, amount, and cancellation mechanism before you are charged. You may cancel your subscription at any time through your account settings or by contacting us using the same medium through which you enrolled. If you cancel, you will continue to have access through the end of your current billing period unless otherwise stated.
All fees are non-refundable except as required by applicable law or as expressly stated in a separate refund policy. We may change our fees or introduce new charges upon reasonable notice; price changes will take effect at the start of the next billing period after notice is provided. You are responsible for all applicable taxes, duties, and governmental assessments associated with your purchase. If any payment is not received, is declined, or is charged back, we may suspend or terminate your access to the Services without liability.
8. Service Modifications
We reserve the right to modify, update, suspend, or discontinue the Services, or any part thereof, at any time and for any reason, including for maintenance, upgrades, legal compliance, or business reasons. We will use commercially reasonable efforts to provide advance notice of material changes or scheduled downtime; however, we are not liable for any modification, suspension, or discontinuance of the Services.
We may also modify these Terms from time to time. Material changes will be posted on this page with an updated “Last Updated” date, and we may provide additional notice through the Services or by email. Your continued access to or use of the Services after the effective date of any revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, your sole remedy is to stop using the Services and cancel your account.
From time to time, we may make available beta, preview, pilot, or experimental features. These features are provided for evaluation purposes only, may contain bugs or errors, may not be fully functional, and may be changed or discontinued at any time without notice. Your use of such features is at your own risk, and any data associated with beta features may be deleted when the beta period ends.
9. Limitation of Liability
YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, NON-INFRINGEMENT, OR THOSE ARISING FROM COURSE OF DEALING OR TRADE USAGE. Applicable disclaimers under the Uniform Commercial Code (UCC) Article 2 as adopted by the states are incorporated by reference. Residents of Maryland, Virginia, and Louisiana should note that the Uniform Computer Information Transactions Act (UCITA, adopted only in MD/VA/LA) may apply to certain aspects of these Terms.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL Norbergite, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (I) THE AMOUNT YOU PAID TO US FOR THE SERVICES DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (II) ONE HUNDRED UNITED STATES DOLLARS (US$100). THE LIMITATIONS OF LIABILITY IN THIS SECTION DO NOT APPLY TO DAMAGES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING DAMAGES ARISING FROM GROSS NEGLIGENCE, WILLFUL MISCONDUCT, FRAUD, PERSONAL INJURY, OR VIOLATIONS OF INTELLECTUAL PROPERTY RIGHTS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITIES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
10. Termination
You may terminate these Terms at any time by discontinuing use of the Services and canceling your account through your account settings or by contacting us. If you terminate a paid subscription, you will remain responsible for all accrued charges, and no refunds will be provided except as required by applicable law or as expressly stated in our refund policy.
We may suspend or terminate your access to all or part of the Services, without prior notice or liability, for any reason, including if we believe you have violated these Terms, engaged in fraudulent or illegal activity, or pose a security risk. Upon termination, your right to use the Services will immediately cease, and you must promptly destroy any copies of materials obtained from the Services and discontinue all use of our trademarks and content.
Following termination, we may retain or delete your data in accordance with our Privacy Policy and applicable law. Certain provisions of these Terms will survive termination, including but not limited to provisions regarding content ownership, payment obligations, confidentiality, indemnification, limitation of liability, dispute resolution, and governing law.
